CMKM has no choice but to
continue the process of distancing itself from its sordid history and from
unsubstantiated claims of great wealth to be paid “very soon” to its Shareholders
from an unidentified source. CMKM has no evidence or knowledge of this
alleged “trust”, Newcorp/mineral superstore, or imminent “payout”. CMKM
advises its Shareholders against making plans or living in expectancy of
any of these claims.
CMKM will continue the process
of rebuilding this severely-damaged company, and will do everything possible
to build legitimacy and credibility for the benefit of Shareholders. This
process will include a NAME CHANGE as soon as practical.

In light of recent events
it has become necessary that CMKM management come forward and clarify company
position on issues that directly or indirectly affect CMKM and its Shareholders.
CMKM has taken a neutral position on these certain issues, but can no longer
remain neutral due to the impact of these issues on the ability of CMKM
to rebuild, establish credibility, and eventually prosper for the benefit
of all Shareholders. CMKM also has a responsibility to its Shareholders
to take a stand on certain issues that can have great emotional or indirect
impact on its valued Shareholders, even when CMKM has no control over those
issues.
The easy path for CMKM management
would be to simply continue doing the work necessary to rebuild CMKM. However,
it is essential for CMKM to establish strong credibility with its Shareholders,
with government agencies, and on the street – with potential investors,
lenders, law firms, accountants, brokers, and other potential future associates.
For this reason it is time to “clear the air” and continue to build on
a solid foundation.

We had approximately 60 attendees
that joined the 2 hour 20 minute event for various periods of time. “Thank
you” to those who took time to attend, and I hope a few more will listen
to the replay.
The Q&A segment was somewhat
chaotic at times – I typically open the “chat” function for all attendees
so that questions can be viewed by all for these events. However, as a
result there is “chat” of various types ongoing before and during the Q&A
between attendees that has proven to be disruptive. I will close down this
“chat” function for future events so that the content is kept under control
and the event can be more “to the point” and less time-consuming.
In spite of this, many good
questions were asked and answers provided. If you were unable to attend
or your question was lost in the mass of chaotic “chat” and was not answered
you can always e-mail me at stevek@cmkmdiamondsinc.com.
These Webinars are intended
to provide factual information and updates on our progress as the difficult
task of rebuilding CMKM continues. If you have a suggestion on how to improve
the dialogue between CMKM management and Shareholders please e-mail me

RE: Recent Webinar #16,
Tax Returns, Stock Dilution
To All CMKM Shareholders:
I hosted Webinar #16 Friday
night, March 29, 2013, and had a maximum attendance of 35 Shareholders
at the peak. Obviously Easter weekend and more particularly Good Friday
is far from the optimal timing for a Webinar. However, I have committed
to having at least one web session per month, and due having a Shareholder-Director’s
meeting March 15 – 17 and waiting on 2012 tax returns to be completed I
ran up against the end of March, so I held a Webinar (in spite of the poor
timing) to honor my commitment.
The event was only one hour
long – due to the poor attendance I decided not to start the process of
reviewing CMKM corporate tax returns from 2002 – 2012 on Friday night.
Instead I plan to post the tax returns on the CMKM website this week for
your review, and then will go over the returns year-by-year in April.
Stock Dilution
During the course of Friday
night’s web session I made mention of the fact that CMKM holds approximately
100 billion shares in its treasury. Our authorized share count has stood
at 800B shares for several years, and the issued share count is just slightly
less than 700B shares. In spite of the fact that CMKM was delisted in 2005,
a delisted company has the right to use treasury shares under certain conditions
to raise operational funds.
I have looked at various
proposals and ideas to raise funds to help CMKM move forward more rapidly
than simply waiting on litigation and asset recoveries. However, there
has NEVER been even a thought of doing anything that would
further dilute the value of shares held by CMKM Shareholders. Somehow as
a result of my mere mention of the 100B shares we hold in reserve several
Shareholders have speculated that there was a plan underway to dilute share
value. NOTHING COULD BE FURTHER FROM THE TRUTH – there is
no such plan, nor is there any plan to raise the authorized share count
above 800B.
In spite of the many
naysayers that claim CMKM will do a reverse split prior to going back to
trading – I have always said that I would NEVER authorize a reverse split
prior to going back to market unless it was proven to be the only way CMKM
could trade again. I have been told by legal counsel that a reverse split
will not be necessary to trade again.
Let me also assure you that
no treasury shares will be issued to CMKM management or Board of Directors
until such time that CMKM is financially healthy, debt-free, and trading
again. I only hold a paltry 2M shares at this time (purchased) and will
not accept nor vote to issue CMKM shares to anyone until such time that
such issuance would be considered earned and appropriate. I can assure
you that our Directors-elect (Gary Rupp and Kevin Taylor) feel the same
way.
Many of the rumors, false
assumptions, and outright untruths come from Shareholders that have never
listened to a single Webinar – they take a brief outline of a long web
session from a well-intentioned listener and try to make assumptions about
things that are totally outrageous, divisive, and discouraging. I fully
understand that many Shareholders cannot attend Webinars for reasons outside
of their control. I also understand that many Shareholders are not particularly
interested in what CMKM as a company is doing – they simply want a large
check to come in the mail. However, if you want to hear the real truth
about any CMKM matter - attend the Webinars.

day. I am here to serve you and to insure that misconceptions are put to

To All CMKM Shareholders:
I have decided to change
the date for the upcoming Webinar #16 to Friday, March 29, 2013 at 8 PM
CDT. My previous plan to host the event on Easter Sunday night has resulted
in some concern, so in honor and celebration of the Resurrection of our
Lord and Savior Jesus Christ I will move the Webinar forward to Friday
night. Easter is indeed a very special day for many of us, and is a day
to celebrate, worship, and spend time with family.
I have hosted Webinars on
many different nights in an effort to try to find the best time for the
maximum number of attendees. My church and many other churches do not hold
services on Easter Sunday night, so I thought it might be a time when many
could attend. However, the feedback I have gotten indicates that some are
opposed to the timing. I certainly prefer to spend my Easter Sunday night
away from CMKM business also.

The main focus of this Webinar

to provide adequate time for this effort.
Upon completion of this project,

a link which will allow easy access by Shareholders.

Tax Returns
I plan to post the CMKM tax
returns for years 2002 – 2010 along with the 2012 return when the 2012
return is filed. I will host a Webinar the evening of the release to walk
through these returns year-by-year, and will have a Q&A session at
the end of the Webinar to answer questions on these returns. I have asked
our CPA to file the 2012 return “on time” around March 15, 2013 – so you
can expect an announcement of a Webinar shortly thereafter.
Corporate tax returns can
be fairly complex and difficult to understand, so I will do my best to
explain the events and transactions that created the “numbers” for you
benefit. Once understood, these tax returns will provide shareholders with
a long-awaited view of CMKM’s financial history.

Happy New Year and best wishes
for a healthy, happy, and prosperous 2013 from CMKM headquarters! I hope
each of you had a wonderful and restful holiday season.
I am happy to report that
CMKM will actually show a profit for 2012 for the first time in CMKM history.
Although this profit will not provide immediate cash in your pockets, it
is indeed a major turn-around for CMKM, and is a glimpse of better days
ahead. We actually ended the year with a healthy cash balance in the bank
account, and I plan to use that capital to accelerate our legal and recovery
efforts to increase our cash position in 2013.
Webinar #13 held on December
27, 2012 had a very modest turnout, with about 55 Shareholders in attendance
at the peak. Obviously the ongoing activities of CMKM are not particularly
important to most Shareholders, but I will continue to host these events
at least monthly for the foreseeable future. If you were unable to attend

This webinar lasted 2 hours
and 27 minutes – it was a mixture of some new information and a review
of my first year as President/CEO of CMKM. Attendance for the webinar was
mediocre with about 70 shareholders listening at the peak. Regardless of
the attendance, the webinars will continue at least monthly for the foreseeable
future. Hopefully attendance will increase when I have better news to report
in the months ahead. I remain optimistic about CMKM and its future in spite
of the delays and slowness in our progress to date. I will announce another
webinar to be held later in December, and hope to have some good things
to report.

To All CMKM Shareholders:
I want to wish all CMKM and
their families a warm and sincere “Happy Thanksgiving” from CMKM headquarters
this year. In spite of the difficulties faced by our country and many of
us as individuals – we still have so much to be thankful for.
Although most of our thanks
are due to our awesome God for His many blessings, I would like to thank
each one of you for your endurance, your kindness, your prayers, and for
simply being a Shareholder in CMKM. You indeed deserve better than you
have gotten, and I assure you that the efforts continue daily to rebuild
this company from the ashes and turn it into something of value for all
Shareholders. I fully recognize the ordeal you have faced as Shareholders
of CMKM – years and years of uncertainty, waiting, and disappointment on
most every front.
I was appointed as President
of CMKM one full year ago on November 18, 2011. My first year serving you
as President has been filled with much activity behind the scenes, but
has shown very little in the way of tangible progress. However, in spite
of the lack of visible progress the foundation has been laid for CMKM to
become a viable, profitable company in the months ahead. I have enjoyed
the vast majority of my interaction with Shareholders, and have understood
the frustrations of many of those who do not trust that anything good will
ever become of CMKM.
I remain highly motivated
to see this task through, and am confident that CMKM will indeed become
a company that you will be proud to be a Shareholder in. It has been an
honor to serve all Shareholders for this first year, and I look forward
to better days ahead.

I plan to unveil the new
CMKM website design, plus release the new, updated CMKM Corporate Bylaws
during this meeting.
Please be advised that I
am no longer reading any of the CMKM Proboards, and do not plan to read
them in the days ahead. The “boards” serve a valuable purpose to Shareholders
as a source of information and healthy discussion and debate. However,
I have found myself getting caught up in the numerous controversies and
differing opinions that the “boards” allow to be discussed.
I made a calculated decision
when I was appointed President of CMKM to invest a significant amount of
my time into Shareholder relations and communication. I have conducted
an intense effort for over 11 months of being open to Shareholder communications
of all types and forms. It was also necessary for me to read a few “boards”
from time to time – especially during the recent campaign season and election
of two Shareholder Directors. However, I have found myself attempting to
resolve far too many controversies and debates that have produced very
little tangible fruit. I will rarely be successful in changing the opinion
of long-time Shareholders who have developed their own belief systems,
and will no longer attempt to do so. I will simply continue presenting
hard facts and truth through the CMKM website and Webinars, and let the
chips fall where they may.
Most of my communications
with Shareholders over this 11 month period has been very positive, encouraging,
and productive. I plan to continue to respond rapidly to Shareholder
e-mails, texts, and phone calls. However, my time and energy must now completely
focus on the task at hand – the task of keeping CMKM alive, and of transforming
it into a legitimate and profitable business venture for the benefit of
all Shareholders.
In the months ahead I plan
to introduce an “official” CMKM company “board” that I hope can become
the source of a small income stream for the company, and can be a place
where official, sanctioned facts and figures can be discussed by Shareholders.
It would also be a place where I could interact with Shareholders online
on a regular basis to answer questions. Until that time, I will refrain
from reviewing any information on the current Proboards.

RE: Results of Shareholder
Vote for Two Shareholder Directors
To All CMKM Shareholders:
Please review the attached
Proxy Voting Summary for the recent Shareholder vote. As you can see,
the two candidates who received the most votes were Gary Rupp (Showmethemoney)
and Chris Campbell (my69z).
I was able to reach Mr. Rupp
immediately Wednesday morning to inform him of his victory. He has passed
his background check and has agreed to accept the Directorship role when
the new CMKM Board is officially seated.
I was unable to reach Mr.
Campbell for several days, but finally got a call from him late Friday
night. Mr. Campbell has declined the opportunity to serve as a Director
for personal reasons.
As a result of Mr. Campbell’s
decision, I have contacted Mr. Kevin Taylor (ce560), who received the third-highest
vote count. Mr. Taylor has passed his background check and has agreed to
serve as a Director.
Please join me in congratulating
Gary Rupp and Kevin Taylor as our two official Shareholder Directors to
serve a one-year term on the CMKM Board. These two men have excellent credentials,
and will prove to be a tremendous asset to CMKM and its Shareholders. I
am excited about the opportunity to work with both men in the days ahead.
There was much speculation
that the “Tyler block” of votes would create an unfair scenario in the
election. Obviously that was not the case. I firmly believe that we had
a fair election with a fair result.
It is certainly unusual for
a winning candidate to decline a Directorship after running and campaigning
for the position. I am sorry that the voting results had to be delayed
so long, but the circumstances dictated that communication had to be established
with all concerned parties, and decisions made - prior to public dissemination.
Thanks again to the Candidates
who courageously ran, and to the Shareholders who cared enough to cast
their votes. Hopefully this vote is the first of many votes to come.

RE: Results of Shareholder
Vote
To All CMKM Shareholders:
I want to personally thank
each CMKM Shareholder that participated by voting in the recent election
of two Shareholder Directors for the CMKM Board of Directors. There were
slightly less than 75 billion votes cast in the election, or almost 11%
of the issued share count of CMKM.
I received the election results
Wednesday morning from Transfer Online, and began the process of notifying
the winners of the results. I easily made contact with one winner, but
have been unable to establish communication with the second winner, in
spite of several e-mails and phone calls. As a result of this lack of communication
I am forced to withhold the final results of the vote. If this individual
desires to serve on the Board, he needs to communicate with management
and submit his information for the perfunctory background check prior to
the announcement of the winners.
The other winner has fully
cooperated and established a good line of communication with me, and has

to CMKM. If the other winner does not respond to my communication within
a reasonable time frame, then I will have to consider the option of declaring
the candidate with the third-largest vote as our second Shareholder Director.
I had planned to host a Webinar
this week to announce the vote results, but am forced to postpone that
event to a later date. When I am able to release the results, I will post
the official printout from Transfer Online on this website so that all
Shareholders can review the entire vote history and breakdown.

Allowing Shareholder Vote, Webinar Tonight
To All CMKM Shareholders:
Please review the attached
Corporate Resolution that was passed on August 23, 2012 authorizing
CMKM to hold the
upcoming Shareholder vote
under emergency financial conditions. I had planned to release this document
along with the
new CMKM By-Laws simultaneously
with the release of the new CMKM website design in October. However, the
upcoming
vote has created a firestorm
of controversy as to its legality, so the Resolution may serve to help
you understand that the
vote is legal.
CMKM stands ready to defend
the legality of this vote, and the vote will proceed as scheduled. Any
frivolous challenges to
this vote will be defended
and met with counter-claims if necessary. This vote is being held for the
benefit of every
Shareholder in an effort
to rebuild CMKM into a viable and profitable company. The vote is also
being held as a result of a
settlement between CMKM
and seven Shareholder plaintiffs who sued CMKM Pro Se in a Texas court.
The settlement
terms require that this
vote for two Shareholder Directors be held on September 30, 2012. CMKM
has complied with and
intends to continue to comply
with the terms of the settlement, which contains positive terms for the
Shareholders benefit.
As a result of this vote
Shareholders will be able to elect two Directors of their choosing to serve
on the BOD and help bring
Shareholder desires to fruition.
Many individuals are attempting
to discourage Shareholders from participating in this vote – using many
reasons for not
voting that I consider invalid
and inaccurate. How could voting in a simple election for Directors cause
you to forego your
rights to anything? You
have a right to vote, and anything that would diminish your rights to anything
tangible or intangible
by voting would be subject
to intense debate and legal scrutiny. Frankly, individuals that would improperly
discourage you
from voting without having
any proof of your supposed loss of rights to anything tangible or intangible
are committing a grave
injustice to Shareholders,
CMKM Diamonds, Inc., and the Director Candidates that have boldly stepped
forward with a
willingness to serve you
and CMKM
.

The sound quality varies
in the recording due to the size of the room and the attempt to field questions
from an audience of approximately 30 attendees with only one microphone
(short mic cable). This event was informal in nature, and the webinar and
recording are far from a “professional” production. However, the effort
was made to open the meeting to remote attendees and panelists in spite
of the technical limitations. I hope some of you will find the recording
helpful. I certainly enjoyed the meeting, but learned that a simple laptop
and microphone do not necessarily create a perfect setup for a web meeting.
UPCOMING WEBINARS (#9
and #10)
As previously announced I
plan to host two Webinars this week (Wednesday and Friday nights at 8 PM
CDT) in final preparation for the upcoming Shareholder vote. I hope the
attendance for these events is better than recent Webinars, which have
been attended by less than 75 Shareholders.
Certainly it is up to each
individual Shareholder to decide if Webinar attendance is important or
not, and the Webinars will continue regardless of attendance levels as
long as I am affiliated with CMKM. I made a commitment to Shareholders
to provide truthful and transparent communication from day one, and have
done exactly what I said I would do.
Many Shareholders depend
on “hearsay” or snippets of Webinar discussion taken out of context and
shared on a “board” to form opinions. Many of the biggest “detractors”
of CMKM efforts are Shareholders that never listen to a Webinar. These
Webinars allow for very detailed discussion of matters important to most/all
Shareholders. Many of the questions that Shareholders have, and many of
the matters Shareholders are misinformed about have been discussed at length
in previous Webinars. If you want to hear many critical issues discussed
in detail, please listen to the Webinars.
Tomorrow night will provide
another opportunity for Shareholders to hear many of the Candidates speak,
and to ask them direct questions. I hope each of you will take advantage
of this chance to get involved in your company – CMKM.

Chattanooga Meeting
To All CMKM Shareholders:
As previously announced the
OFFICIAL voting day for two Shareholder Reps/Directors to serve on the
CMKM Board of Directors is SEPTEMBER 30, 2012. The Transfer Online voting
site was set up briefly for my review, but several Shareholders used the
site to cast votes prematurely. Certainly no harm has been done, as we
have confirmed that the site is user-friendly and works well. However,
those who have voted early will be required to vote again on the OFFICIAL
date of
September 30, 2012.
I am having Transfer Online
shut down the voting site today to avoid further wasted efforts. However,
please continue to register your shares and obtain your security code with
TO if you have not already done so.
I respectfully request that
each Shareholder monitor this CMKM website for instructions regarding important
matters such as voting dates. “Voting early” was never part of the voting
plan –otherwise it would have been announced here first.
Chattanooga Meeting and Comments
The informal meeting in Chattanooga,
TN. held Saturday, September 15 was attended by 27 Shareholders (unofficial
count), plus heard by about 35 Shareholders via the internet/Webinar. The
attending group represented a realistic cross-section of CMKM Shareholders
– from very large to small share counts, some active on the “boards” and
some inactive, many “old timers”, with most all opinions, beliefs,
and “camps” represented as well. The discussion was lively but remained
very civil and cordial throughout. I believe that friendships were made
despite differences of opinion. I would like to thank “Granny” for hosting
the event, and all who attended this healthy exchange.
The common thread shared
by all attendees is that each of us hold shares in a company named CMKM
– a severely damaged company that is still alive and struggling to not
only survive but to prosper. We will all participate in the same outcome,
whatever that outcome is. I work every day to help this company survive,
rebuild, and ultimately prosper for the benefit of all Shareholders. In
spite of significant doubt from many that CMKM can arise from the ashes
and prosper one day – the possibility of that happening is very real. The
process is slower than any of us would like, but the process is ongoing
nonetheless.
As I shared with the group
Saturday – I offer no unrealistic hope and have no interest in “pumping”
anything. I simply share the facts as they are, and I have nothing to gain
by building up false hope in CMKM’s success. However, I remain confident
that we are on the road to a better future for CMKM, and know in my heart
that everything we are doing is in the best interest of CMKM and its Shareholders.
The upcoming Shareholder
vote is another step toward a brighter future for CMKM. Please study the
candidates closely, and make the wisest and most prudent decision possible
before casting your votes.

2011 TAX RETURN
I am posting the 2011 CMKM
Corporate Tax Return on the website today for your review. The return was
e-filed yesterday.
In spite of the loss shown
in 2011, I am optimistic that we will end the 2012 year with a profit.
Due to massive reductions in
overhead, including zero
payroll, office, phone, or typical operating expenses we only need one
more significant asset
recovery to return CMKM
to profitability. There is an intense effort underway to identify and recapture
assets, and more are
being found practically
every day. Asset recovery through the court system takes time and money,
but there is much “low
hanging fruit” that I hope
to see recovered this year.

There has been some concern
about the filing of the 2011 Tax Return. Our accountant is still waiting
on answers to a few
questions that can only
be answered by previous management. The questions must be answered before
an accurate return
can be filed – period. We
have asked several times for the answers, but are still awaiting them.
The return will not be filed
until it can be done accurately.
We have until September 17, 2012 to file without penalties.
There is a rumor circling
that the 2010 Tax Return needs to be amended – that is simply not true.
The 2010 return will stand
“as is”, and has been posted
for months on the CMKM website.

RE: Update
To All CMKM Shareholders:
When I accepted the position
of President of CMKM Diamonds, Inc. in November, 2011 one of the biggest
requests I received was
for transparency and honesty
from the company. In the ensuing seven months, I have attempted in every
way possible to meet this
request. I have made myself
totally available to all shareholders, and have answered every question
that I have the knowledge to
answer, hosted four (poorly
attended) webinars to date, and published numerous updates on the company
website. I have spent
much of my productive time
in an effort to build trust and unity with shareholders.
I have admitted to giving
a poor and inaccurate answer about the “Jeffries letter” matter, but apologized
for my error, and corrected
the situation with accurate
data. I have conceded that my knowledge of all happenings within CMKM from
years ago is limited, but I
have worked hard to learn
as much as I can – in spite of the fact that much of the “old history”
has no bearing on CMKM’s survival
or future, unless it can
help bring cash or assets back into the company.
There is apparently a new
controversy among shareholders about the actual CMKX share counts, so here
are the numbers as of
today, 6/20/12 per the records
at Transfer Online:

Issued Shares: 695,969,515,522
Outstanding Shares: 695,933,015,522
Non-Restricted Shares: 672,250,114,879

I hope this information directly
from Transfer Online will help minimize any further controversy. As I have
said many times – the
greatest asset CMKM has
remaining is its large and diverse shareholder group of 50,407 shareholders.
However, the division,
disharmony, and distrust
among shareholders represent the greatest threats to the survival and prosperity
of CMKM Diamonds, Inc.
in the days ahead.
My efforts to create unity
and trust have been sincere and intense, but have not produced the desired
results up to now. It seems that
the more factual information
that I provide, the more storms of controversy that erupt. In the days
ahead, my focus will re-intensify
more on rebuilding CMKM
and less on solving controversy or putting out fires.

To All CMKM Shareholders:
It is my duty to report to
you that Mr. Jim Lowden has resigned as Secretary/Treasurer of CMKM Diamonds,
Inc., effective May 10, 2012. Jim has other business and personal interests
that demand his time, and needs to focus his full attention on those matters
of importance.
Jim Lowden has truly been
an asset to CMKM, and I hate to see him leave, but I fully understand his
need to move on at this time. During his time with CMKM, Jim performed
many important and thankless tasks, including getting all the overdue CMKM
tax returns filed and current. Jim took much personal risk to keep the
company afloat during a difficult time, and much of what he did is not
known or appreciated by shareholders.
I consider Jim both a personal
friend, and a friend to CMKM Diamonds, Inc. He will be sorely missed, as
men of integrity like Jim are hard to find in this day and age. He deserves
much credit for the fact that we are still afloat and “in business” – much
more than shareholders will ever understand or appreciate.
Jim – thank you for all you
have done for CMKM, and my prayers and hopes for much success are with
you as you continue your
business and personal endeavors!
I will immediately take over
the role of handling Jim’s duties, and will have our accounting firm, Madeley
and Associates, oversee the checking account with me. I have no plans to
fill the Secretary/Treasurer position until such time as we have substantial
capital in the bank.

We had approximately 400
attendees at the peak of the first webinar, and around 200 at the peak
of the second one. These numbers indicate to me that most shareholders
are worn down from this CMKM journey, and just want a large check to come
in the mail! I certainly understand that feeling, and wish that day would
come soon. However, the effort continues daily to rebuild CMKM Diamonds,
Inc. into a legitimate, profitable operation. That is all I have any influence
or control over, and will continue that effort until we are successful.

To All CMKM Shareholders:
I plan to host the second
CMKM webinar this Thursday night, April 26, 2012 at 8 P. M. CDT. I look
forward to furthering the effort to answer your questions and provide honest
and clear information to the shareholders.
The first webinar was not
without its technical problems – sound quality was poor for some listeners,
some had problems logging into the meeting, etc. I have discussed these
issues with Webex, and hope to solve most of the problems with the next
webinar. I will use a headset/mike instead of the built-in mike on my computer.
I also plan to “hard wire” my internet connection instead of using “Wi-Fi”.
I will use the video option in a limited way – many have said that audio
quality improved when the video was shut off.
I will field questions via
the “Chat” function instead of the “Q&A” function, which will allow
every attendee to view the questions on
their computer screen. Hopefully,
this will help avoid redundancy with the questions, and will allow everyone
the chance to see the
exact questions as they
are typed in.
Many of the technical issues
revolve around the individual attendee’s internet speed and connection
quality, which are out of my
control. However, I hope
this problem is very limited in scope.

TO ALL CMKM SHAREHOLDERS:
Greetings to each of you
from company headquarters! I hope this update finds each of you and your
families in good health and with positive outlooks. This update is being
published to summarize the details and activities from my recent trip out
West on CMKM business.
Since my last update on February
15, 2012 I have had the privilege to communicate with many shareholders
by phone, e-mail, and text. I have enjoyed getting to know each of you,
and to exchange information and thoughts about CMKM - it’s past, present,
and future. I consider our large and diverse shareholder base to be one
of CMKM’s biggest assets.
As a brief introductory statement,
let me say that my recent trip was both fascinating and very productive.
I made stops in Texas, Las Vegas, and multiple cities in California. I
met with numerous people and looked at numerous properties on behalf of
CMKM. I truly believe that the things I saw and learned, the people
I met, and the seeds of progress that were planted will reap benefits for
the company in the days ahead.
MEETING WITH LAW FIRMS WITH
REGARD TO POSSIBLE NAKED SHORT ACTION
My first stop was in Houston,
Texas where I met with two law firms – one firm that specializes in litigation
with regard to naked
shorting of specific stocks
by brokerage firms. The meeting was attended by Bill Frizzell, who knows
as much about the history of
CMKM as anyone, and by an
attorney from the second firm that specializes in securities law.
It is an understatement to
say that the meeting was truly fascinating. The law firm specializing in
naked short cases is indeed highly qualified, well financed, and has been
successful in obtaining settlements for companies that have suffered from
naked shorting of their stocks. Typically, a case of this type costs literally
millions of dollars to bring to trial, and is usually worked by multiple
law firms on a contingency basis. The case must be very strong in order
to entice these high-powered law firms to sign on and expend the funds
and effort to bring the case to trial.
There is little doubt that
CMKX stock was naked shorted during the time frame the stock was being
traded. It has been speculated
that anywhere from 800 billion
to two trillion phantom shares were sold into the marketplace by brokerage
firms without shares in
hand to cover the sales.
However, we face a major obstacle in pursuing a naked short action due
to the fact that the statute of
limitations limits litigation
of this type after five years, and CMKX stock was delisted over five years
ago.
There are other avenues that
may allow us to pursue this naked short issue in spite of the statute of
limitations problem. The three law firms in attendance are studying how
to best tackle this case, and will do everything possible to find a way
– most likely beginning with a RICO action in a single state with favorable
RICO statutes, and expanding from there if successful.
Although I am not at liberty
to name the law firms involved, I am confident that we have some of the
best legal minds in America
chewing on this matter.
I will provide more information to you as decisions are made in this pursuit.
WELLS FARGO LAWSUIT
While in Houston, I met
with one of two additional law firms we have brought on board to assist
with the Wells Fargo lawsuit. These two firms have been successful in previous
cases against Wells Fargo Bank, and add much firepower to our case. Due
to the fact we have an ongoing case against Wells Fargo, I cannot share
more details at this time. However, I am confident that we have excellent
representation, and am determined to make sure that our lawyers pursue
this case with intensity and vigor to insure CMKM the best chance of recovery
in this matter.
MEETING WITH MR. EMERSON
KOCH
My next stop was Las Vegas,
where I had the pleasure to meet Mr. Emerson Koch in person. He is a fine
gentleman, and truly has a heart for the CMKM shareholder base. We are
very fortunate to have him as our partner in the 1010 Joint Venture.
Mr. Koch has maintained the
1010 claims in good standing for several years at his expense, and has
drilled core samples on the 1010 lands that are stored in his warehouse
in Saskatchewan. The 1010 JV agreement calls for CMKM to put up substantial
sums of cash at intervals to follow the terms of the agreement. However,
CMKM has not had the capital to honor our side of the agreement to date.
By rights, Mr. Koch could
have walked away from this deal long ago, but has been extremely patient
as CMKM management attempts to rebuild the company’s finances.
It is clear that all of us
want to know what the core samples consist of – are they filled with diamonds
and other valuable minerals, or are they worthless samples? Many shareholders
have contacted me with questions as to why we haven’t tested these core
samples, and the simple answer is that we have not had the funds to honor
the terms of the 1010 agreement, or the funds to test the samples.
The 1010 JV is a critical
piece to the puzzle for CMKM’s future. A few shareholders have offered
to put up money to help with the
cost of testing the samples.
Well, the day is fast approaching when the opportunity to invest in the
core sample testing will be
available.
Mr. Koch and I agreed that
he will get quotes immediately and put together a budget for the testing
of the core samples, and I will find a way to raise the money to get the
testing done. I have several avenues to pursue in an effort to raise the
funds needed for testing, with the most logical being the offering of “preferred
shares” to individuals willing to invest in this venture. I am investigating
the legalities of offering preferred shares, and looking at other funding
options, including private venture capital.
I will provide more information
on this project during the online company meetings which begin in April.
The good news is that we
will may soon be testing
core samples if the needed funds can be secured!
VISITS TO NUMEROUS PROPERTIES
BEING PURSUED FOR RECOVERY
I personally visited and
viewed various properties in Nevada and California that CMKM is pursuing
through legal actions. These
properties were purchased
by former CMKM insiders, and the company hopes to secure title and ownership
to these properties
through the large judgments
we hold against these insiders. Once the company gets possession of these
properties, I will attempt to sell them to generate operating funds and
improve the CMKM balance sheet.
I looked at every property
that we know about at this time, but we believe that there are many more
properties that we will uncover
eventually. There is an
ongoing, daily effort to locate these properties, much of which is done
by shareholders investing their
valuable time for the CMKM
cause. I offer a hearty word of “thanks” to these individuals for their
great work.
The properties I saw rank
from C+ to A- in terms of salability, in spite of the weak real estate
market that exists in most of the U.S. These properties are just another
piece to the CMKM puzzle – we need the chunks of cash that each parcel
could generate to stabilize and strengthen company finances.
I also took a long ride from
Los Angeles into the sparsely-populated areas of southern California, and
located a large parcel of land
that is pledged as collateral
against a loan made by a former insider to another company several years
ago. Due to judgments against these insiders, CMKM is entitled to the proceeds
from the loan repayment, which is currently in excess of $900,000, but
is in default. I have instructed our legal team to pursue collection/foreclosure
efforts diligently in this matter. Due to the anticipated litigation, I
cannot comment further on this matter at this time, but will update you
at the appropriate time.
VISIT WITH MR. AL HODGES
My final stop was to meet
with Mr. Al Hodges and Mr. Dennis Smith. I felt that meeting with Mr. Hodges
was a very important part of my trip, and I was pleased and thankful that
both men took time to see me in spite of busy schedules.
Our meeting was very cordial,
pleasant, and informative. I came away from the meeting more convinced
than ever that Mr. Hodges
believes in his cause with
all his heart. I truly believe he has invested all of himself, his reputation,
and his legal expertise into seeking a return for the plaintiffs, and ultimately
all CMKM shareholders.
I informed Mr. Hodges of
all the efforts that are ongoing from the company side to rebuild value
into CMKM. He assured me that
none of our company efforts
are or could be a hindrance to his efforts for recovery. I offered my assistance
if it is ever needed to help bring closure to his recovery efforts, and
he assured me that he would let me know if I could help somehow.
I asked Mr. Hodges what he
would want me to share or relay to the shareholders at this time. His response
was that he feels very
strongly that the long-awaited
funds will be released very soon, and that the battle is nearly over. So,
I am reporting this to you, the shareholders, per Mr. Hodges’ comments.
Please understand that I
have no “inside” information one way or another. However, I truly hope
and pray that Mr. Hodges prevails
for the benefit of all shareholders.
UPCOMING COMPANY WEBINARS
I am planning a minimum
of two (probably more) shareholder meetings in the month of April. I am
in the process of getting the
necessary training to host
these meetings, so I cannot announce firm dates at this time.
The web meeting room will
allow up to 1,000 attendees, and will be recorded and archived on the company
website for those who are unable to participate in the live event. During
these meetings I will provide updates on company activities, and then allow
plenty of time for questions.
My hope is to continue increasing
company transparency and building shareholder unity and trust through these
meetings. I may not have the answer to every question, but will provide
honest answers to the ones that I can answer.

SALE OF CLAYTON, GEORGIA
PROPERTY
We have a firm contract
on the 24 acre tract in Clayton, Georgia. The closing is scheduled for
April 11, 2012. I will report more about this sale during the online shareholder
meetings.
SUMMARY
My current business plan
for CMKM is very simple:
1. Cut overhead to the bone
and keep it low.
2. Bring in cash from any
and all available sources – recovery and sale of properties, collection
of funds owed, and ongoing/future
litigation recoveries.
3. Raise funds for the purpose
of testing the 1010 core samples.
4. Provide honest, accurate
information to shareholders.
5. Build shareholder unity
and trust.
Of course, I hope all of
these efforts translate to the rebuilding of a viable, profitable CMKM,
and a return to trading. I am passionate about providing a return to you,
our shareholders.

Greetings to all of you –
I sincerely hope that you and your families are doing well so far in this
New Year. Much has been happening on the inside with CMKM, and I want to
update you as to many of the ongoing efforts being put forth on your behalf:
Company Headquarters
The company records and documents
have recently been relocated to my office/warehouse in Alabama. I am providing
use of my
office facilities at no
cost to the company, as it was absolutely necessary to reduce company overhead
to the lowest possible level at this time.
I have hired the local accounting
firm Madeley and Associates to take over the company accounting, and they
will be filing the 2011 tax returns for CMKM. I hope to have the returns
filed by March 15, 2012, and will post the return on the CMKM website when
completed.
The new company address is

Update on Legal Matters
I will be meeting with a
prominent law firm this month to discuss the possibilities of pursuing
a Naked Short action against various
entities that could have
harmed the company in the past. I hope to be able to retain this firm on
a contingency-only basis, but will
meet with other firms if
we are unable to strike a deal. I am hopeful that a law firm can be found
to pursue this legal avenue for us.
Our legal team met with
counsel for Wells Fargo Bank last week to discuss our ongoing lawsuit against
the bank. We intend to pursue every legal strategy available to recover
from damages we believe were caused by the bank. I will update you further
as I am able to discuss with more clarity.
We continue a diligent effort
to locate and obtain possession of numerous properties and assets that
we believe were bought with
CMKM funds by former company
insiders. This effort has already produced revenue for CMKM, and I believe
it will be a significant
revenue source in 2012.
I will be personally visiting several of these properties in March to begin
formulating a plan to sell or make
use of these assets.
Our property in Clayton,
Georgia is listed for sale, and is being actively marketed. We hope to
find a buyer very soon.
I will keep you updated
on these efforts, and others that cannot be discussed at this time.
Upcoming Travel Plans
As previously mentioned,
I will be meeting this month with a law firm the Naked Short action. Looking
ahead to March, I will be
making a long trip out West
to look at various properties in Las Vegas and California that we plan
to obtain in the near future.
On this same trip, I plan
to meet with our new local counsel in Las Vegas, who will be very important
to us in the Wells Fargo lawsuit, and in other legal actions in that area.
I am planning a meeting in
March with our partner in the 1010 Joint Venture, Mr. Emerson Koch. I look
forward to meeting with him, and continuing to affirm our commitment to
that Joint Venture. When the spring thaw comes to Canada, I plan to put
“boots on the ground” and visit the 1010 claims lands.
While in California, I hope
to be able to meet with Mr. Al Hodges. I have not asked for a meeting nor
confirmed a meeting with Mr.
Hodges, but will contact
him soon to ask to meet and shake hands in person.
Company Webinars
In a continuing effort to
provide transparency to the shareholder base, I will begin a series of
Shareholder Online Meetings or
Webinars in April, 2012.
I will hold at least two of these meetings in April, 2012 and at least
two in May, 2012. I will hold at least one meeting online each month from
that time forward. These meetings will be limited to 1,000 participants
on a first-come basis. The meetings will involve general statements and
updates from headquarters, plus a question-and-answer session. The meetings
will be recorded and archived on the CMKM website for review.
I have done the one Pal Talk
session recently and personally enjoyed the event, and felt that it was
beneficial. I have been invited to participate in other forums as well.
However, it has become clear to me now that many shareholders are polarized
or have their favorite board, Pal Talk room, or other venue for discussion.
I have no desire to alienate any shareholder by participating in a forum
that might seem polarized. I have no agenda but to serve the shareholders,
and to build unity and trust with each one of you. As a result of my commitment
to build unity and trust, while providing the needed information and feedback,
I will exclusively use the CMKM website for updates, and the company Webinar
format to hold live events.
Board of Directors
The company will hold an
online vote on September 30, 2012 for two Shareholder Representatives that
will serve on the Board of
Directors. These Shareholder
Representatives will be considered full Board members, with the same voting
rights as other Board
members. The company will
seek candidates for the Shareholder Representative positions between July
15 and August 15, 2012.
I will appoint up to four
non-shareholder Directors prior to the vote on September 30, 2012. I am
interviewing potential Directors at
this time, and seek to have
a strong, diverse Board to help me move CMKM forward into the future.
I will update you as the
process of putting this Board of Directors together comes together.
Summary
I have had the privilege
to communicate with many shareholders by phone, by e-mail, and by text
since coming aboard on November 18, 2011. I have enjoyed meeting each of
you, and appreciate your kindness and support, as well as your candor and
passion for the CMKM cause. By and large, we all have a common goal and
desire – to see CMKM provide a return on your investment that is long overdue.
I can assure you that a tireless
effort is underway to put CMKM back on solid footing, and to make you proud
that you invested your hard-earned money in this company.

I hope all of you had a very
Merry Christmas yesterday, with plenty of family time, gifts, and good
food! We have much to be
thankful for, and the Holidays
give many of us time to fellowship, enjoy special memories, and rest (hopefully)!
Since I posted my initial
letter to you on December 12, 2011, I have had the privilege of talking
with several shareholders by phone or through e-mails. I appreciate the
messages of support that many have expressed. I hope to help develop a
great sense of unity among all shareholders over time.
The New Year is almost upon
us, and with it the many challenges and opportunities we face both individually
and as a company come back into focus. CMKM has many ongoing
efforts to move the company into a better financial position – that is
job #1. If that task can be accomplished, then the dominoes should begin
to fall our way for a change.
Let me reiterate that I fully
intend to bring a new level of communication and transparency to the shareholders.

To All CMKM Shareholders:
It is with a tremendous amount
of excitement that I introduce myself to you, the shareholders of CMKM
Diamonds, Inc. My name is Steve Kirkpatrick, and I am thankful and
proud to serve you as the new President and Chairman of the Board of CMKM.
I, too, am a shareholder of CMKM, and it is my strong desire to bring to
you a well-deserved return on your investment in this company.
I want to express a heartfelt
“thank you” to Mr. Jim Lowden, Mr. Kevin West, and Mr. Bill Frizzell for
the diligent efforts these men
have made to move the company
forward under difficult circumstances. These are men of integrity, and
I can assure you that, without each one of their contributions, it is doubtful
that CMKM would have survived to this point. They all have been instrumental
in helping me get “up to speed” with the many details involved in this
transition. They are truly “unsung heroes” in ways that may come to light
in the days ahead.
I do not personally know
any of the former Board members, but want to thank them for their time
of service to CMKM. I wish them
well with their future endeavors.
Please allow me to address
some of the issues that may be on your minds:
COMMUNICATION FROM MANAGEMENT
I will make a diligent effort
to keep the shareholders informed and updated on a regular basis from this
day forward. I will use the
company website for written
updates. However, I believe the shareholders want and deserve a forum that
will allow you to ask
legitimate questions, and
get answers. Over the next few days, I will make contact with one or two
of the Pal Talk rooms in an effort to set up a live forum for me to talk
with shareholders. I hope to have the session recorded so that shareholders
will be able to listen at a later date. If this medium proves to be effective,
perhaps it can be used on a regular basis as important events occur.
As company finances improve,
I will host webinar events online that will be recorded and archived on
the company website. Also, I
have had calls from owners/moderators
of various boards offering communication options. I will research these
opportunities as well.
Please be aware that I do
not and never have posted on any of the “boards”.
It is important for shareholders
to understand that I will not have the answers to every question. Public
discussion of certain topics
could compromise our position
with regard to ongoing litigation or collection efforts. Some topics serve
no value in moving the
company forward. I will,
however, provide honest feedback on subjects that are open to discussion.
SHAREHOLDER MEETING PLANS
As has been stated before
by CMKM management, the only reason that a shareholder meeting has not
been planned or held is the sheer lack of the funds needed to host such
a meeting. I hope to provide enough feedback to the shareholders to fill
the “void” until such time that funds to hold a meeting are available.
NEW BOARD OF DIRECTORS
As you know, all previous
Board members have resigned. I am in the process of assembling a group
to sit on the Board of CMKM.
Unfortunately, in order
to get quality professionals to sit on a corporate board, the company needs
to be able to cover the Board with liability insurance. Many of the people
I have in mind for the Board have significant assets, and will not join
the Board without the insurance coverage. The Board will be selected, and
will be on “standby” until the funds are available to insure them.
I have discussed the Board
positions with several highly qualified individuals, and have commitments
from two so far. I want a
diverse group with the business
and life experience to truly help me move this company forward. I will
keep you informed on this
process.
AL HODGES AND THE BIVENS
LAWSUIT
I spoke with Mr. Al Hodges
recently. I assured Mr. Hodges that I would help any way possible if he
needs anything from company
management to move his case
forward. However, the Hodges case is a totally separate issue from the
operation of CMKM Diamonds, Inc.
I believe Al Hodges is an
honorable man and a very good attorney. From what I can gather, he has
put his entire law practice and
professional reputation
on the line for this lawsuit. I am convinced Mr. Hodges truly believes
he will prevail. I wish him the best.
However, the position of
CMKM Diamonds, Inc. is neutral with regard to the Hodges effort. I can
assure you that company
management has no “inside”
information to share.
COMPANY HEADQUARTERS
The company headquarters
will be moved from Tyler, Texas in the near future. When the relocation
is complete, I will update you with all the facts.
2010 TAX RETURN
As you have seen, the 2010
tax return has been released on the company website for your review. I
am sure many of you have
questions about the return.
I will discuss the return with our accounting firm, and will be as prepared
as possible to answer questions during the first Pal Talk session.
If you are not familiar with
how to “read” a corporate tax return, then you may become confused or make
incorrect judgments about the “numbers”. I hope each shareholder will get
the real facts before making incorrect assumptions.
SHORT-TERM PLANS
There is much work to be
done. However, a quick look at the 2010 tax return will help you understand
my most pressing priority. The company has assets, but no operating cash
at the present time. We have significant liabilities that need to be paid
soon. The task of converting real estate assets into cash is underway.
I was in Clayton, Georgia on Friday, 12/9/11 interviewing agents to list
and sell the land we own there. I hope to sell the land rapidly for enough
cash to pay all current liabilities in full.
There are several parcels
of land that can be acquired through judgments – it will take time to convert
those to cash. We have many millions of dollars judgments in favor of CMKM
against several individuals, but many, if not most of those judgments are
uncollectable.
There are other potential
sources of cash on the horizon, but to discuss them in this forum could
compromise our position and ability to collect funds.
LONG TERM GOALS
The following list outlines
goals I hope to accomplish over the next two or three years:
1. Test 1010 core samples.
2. Return CMKX stock to
trading status.
3. Form “New Corp” to work
or sell off 1010 claims, giving CMKM shareholders a pro-rata stake in the
“New Corp”.
4. Ultimately, provide a
good and well-deserved return on investment to all bona-fide CMKM shareholders.
These goals are realistic
and attainable, but not guaranteed.
SUMMARY
As I stated in my opening
paragraph, I am truly excited about the potential CMKM holds. I believe
in the potential enough to spend
my time and energy without
cash compensation at this time. I know what needs to be done, and I know
how to do what needs to be done. However, I am not a “miracle worker”.
I will put the work into the company that is necessary, but the company
needs some good things to happen for a change.
The negative verdict in the
Glenn case was a major setback for CMKM. We had a very good case, but,
as we have seen in recent
years – a good case doesn’t
always insure a positive verdict in court.
What we have as CMKM shareholders
is a company that has been damaged severely by many illegal activities
in years past, but is still alive and has a good chance of becoming a profitable
venture.
There are many misconceptions
about CMKM due to its past history. However, let me assure each of you
that I know of no
conspiracies, mystery “money
men”, or anything else of that nature. I hope to address these issues in
more detail in the near future.
We have a much better chance
for success if we are unified as shareholders. I ask for your support,
and if you believe in prayer – pray for this company and for me as I lead
the effort. I assure you that I will conduct business honorably and diligently.

has changed. The company’s statement earlier this year read as
follows:

management is to build a company one step at a time. It is of the opinion

company that a round table
team of shareholders be assembled with approximately 7 individuals. These
individuals will assist
the company in their past knowledge and their ideas moving forward. It
is important
that these individuals have
a good standing with our shareholders”
Please be advised that the
company received several responses to the quest for the round table group
and for the
CEO position.
October 31, 2011 Tom Stevenson
and Stan Polsom resigned their positions as Directors of the Company leaving
Roger Summers as the sole
remaining Director.
November 17, 2011,
Mr. Summers signed a resolution to bring new management onboard to bring
in a fresh new
perspective.
November 18, 2011 Mr.
Steve Kirkpatrick accepted the position as the new President and Chairman
of the Board.
